    If you're using an install media of windows 8 (USB or DVD) and are trying to do an upgrade within Windows 7 then you need to use the setup inside Sources. i.e.: open media > click on sources> click on setup to proceed with upgrade. Using setup from the first screen results in what you're seeing. I just completed an upgrade from Release Preview to Pro with no problems using these steps.

    I tried today using the setup.exe inside sources folder but still same result,sad smiley and then reverts back to Windows 7,same error 0xx000021a or 0xc000021a,also no dmp file is being saved after that sad smiley screen,so all i got is the error code.

    Alot of people are recommending "Clean Install" which will work, but if your case, you sound limited to your resources, the easy fix is going to be a few different options:

    A - Go to "Programs and Features" in Windows 7 Control Panel and un-install the following applications listed in the Windows 8 Upgrade Assistant by using "Safe Mode With Networking" (Press F8 during Kernel Boot to get this option)

    B - Load either something like Puppy Linux or Ubuntu from Live CD, and manually delete the files if you can't uninstall them.

    C - Go to the manufacture's website for all the apps not working or installing and see if they even offer a Windows 8 Version. I had to run one in Windows 7 compatibility mode. Another I had to re-install on Windows 8 after upgrade was completed.

    D - Re-install Windows 7 x64 bit WITHOUT those applications shown above and redo the upgrade. (This is pretty much a complicated Clean Install but would work LONG ROUTE)

    That's really your options, i would google "Windows Mini XP" , or "Hiren's Boot CD 15"

    Try one of those, and un-install "Fraps" and the other applications manually. Then try the upgrade again. It should work.

    PS - Can you download "CPU-z" and run that and screenshot the processor information please, post here, you need NX bit which maybe blocking you as well..most 64 bit arch has it but... a screenshot would be nice to verify...SSE 1,2 are also needed with PAE

    Also...for the DVD issue, you could use "ninite.com" and grab a free dvd player like VLC to stop that error. Then just upgrade using the WMC free product key via email once on Windows 8 Pro.

    I found a dmp file in some temporary folder made by the Windows 8 setup,it shows that ntoskrnl.exe caused the error.

    Hi ODL,
    Give this link a read, especially the reply by ZigZag3143. You may be having a problem with a driver. ....Have you run sfc /scannow via an admin. command prompt? There might be a corrupted system file. ....and of course you can try burning a new install media as suggested above. Good luck. Please post back if your situation is resolved (outlining the solution) so others can benefit from your experience.

    I did today sfc /scannow ,it didn't found any issues.
    Is there a way to fix ntoskrnl.exe?

    I used WinDbg (X64) that's what it shows:
    Code:
    *******************************************************************************
    *                                                                             *
    *                        Bugcheck Analysis                                    *
    *                                                                             *
    *******************************************************************************

    Could be the problem is with ntoskrnl.exe of the Windows 8?,i never receive such error using Windows 7.
