I have installed windows 8 using a upgrade from microsoft, I am looking into changing the motherboard to support more RAM and i've read that windows 8 is tied to the motherboard. Is there a way to transfer my licence to the new motherboard, I don't mind doing a fresh install.

Can I transfer the software to another computer or user? You may transfer the software to another computer that belongs to you. You may also transfer the software (together with the license) to a computer owned by someone else if a) you are the first licensed user of the software and b) the new user agrees to the terms of this agreement. To make that transfer, you must transfer the original media, the certificate of authenticity, the product key and the proof of purchase directly to that other person, without retaining any copies of the software. So if I were to reinstall windows 7 and do the upgrade again I would have no problem with validation? is there anything I need to do (eg. de activate windows) or just format and start fresh with my new motherboard.

I think the current MB isn't uefi and the new one will be.

Going from a Gigabyte M68MT-S2 to a M5A97 Pro

smeagle,
I recently had to replace my motherboard (it died)and my situation was same as yours...I had installed the W8 upgrade from W7. I simply installed my hard drive onto the new mb and it magically configured itself to the new environment! It found and used the new ethernet adapter, went online and got all the necessary drivers to complete the move. I did have to re-activate W8 but it was easily done using the automated telephone method. You enter a series of numbers and the microsoft system gives back a group of numbers which reactivates your W8. When it asks how many pc's the W8 has been installed on say "none" and it will give you the string of numbers to enter. My new motherboard was also AMD but a slightly newer chipset. You may not be so lucky if you are moving between Intel and AMD environments. If you are changing hard drives as well as mb it is necessary to do a complete fresh installation you'll obviously need W8 on a DVD. Hope this helps!!

Had me worried for a moment there, I often make my os last 2 or 3 motherboards.
