If the motherboards are very similar in hardware Windows will often not complain. Especially if both motherboards use the same chip-set. I swapped an ASUS M2N68-AM SE2 with an M4N68T-M V2 running Windows 7 OEM and didn't have to reactivate. About all I had to do was update the sound drivers. One was Realtek and the other VIA. I swapped out the factory drive on my Laptop for an SSD. I wasn't able to clone my setup and ended up doing a clean install. That's not to say its not possible, I just couldn't get it done at the time. I was able to activate fine afterward with the OEM embedded key.

After XP, all windows are "smart enough" to notice HW changes, specially MB. There's enough essential drivers to permit those change and if you are connected to internet at first boot, chances for it to find at least basic drivers are 99%.
