my intel e6400 doesn't support NX ,and i have been running win8 pro since aug 2012 ,with no issues

That my processor does not have NX.
I am running Win 7 Ultimate I cannot believe it will not run 8
no problem. go for it.

I'm confused.

Intel lists both the E5300 and E6400 as supporting NX (listed as Execute Disable Bit)

There's no explicit mention of PAE, but PAE is supposed to be a prerequisite for NX, so it's present as well.

NX is supposed to be required for Win8:

If the Upgrade Assistant complains about NX, see whether you can turn it on in the BIOS setup.

Hi bobkn,

A very nice follow-up post with sound concerns and recommendations! I have attached an official Microsoft document that expands on the PAE, NX, and SSE2 requirements; however, since multiple posters have successfully installed Windows 8 (without NX support) then maybe it is no longer a solid requirement but I'm guessing that some Win 8 security features might be unavailable. Anyway... Cheers!
